1. WOTSO MEMBERSHIPS & SERVICES
1.1
Application
1.1.1
By accepting membership with WOTSO or using any of the services provided by WOTSO at a WOTSO site (Site), you agree to be bound by these terms and conditions.
1.1.2
These terms and conditions and any premises and services offered at each Site are subject to change from time to time at WOTSO’s sole discretion. Changes will be effective immediately, unless stated otherwise.
1.2
Photography
You agree and consent to being photographed by or on behalf of WOTSO whilst in and around any Site, unless you specifically advise WOTSO otherwise. Photographs taken by WOTSO may be used for any reasonable use including (but not limited to) advertising, newsletters, marketing and webpage content. You agree that no royalty, fee or other compensation will be payable to you for the use of any photograph taken by or on behalf of WOTSO.
1.3
Fees
1.3.1
Membership fees for the rental of premises or space (Premises) are payable monthly in advance and will be deducted on the first day of each month from your nominated credit card or via direct debit from your nominated bank account. A pro rata adjustment will be made for any broken period. A penalty fee of $10 will apply to any rejected payment.
1.3.2
Membership and service fees will be determined at WOTSO’s sole discretion. You will receive at least 30 days’ notice of changes in fees.
1.3.3
Any money owing to WOTSO for more than 21 days will accrue interest at a rate of 10% per annum calculated daily until paid in full.
1.4
Services
1.4.1
A reference to ‘services’ in these terms and conditions relates to any service, other than the rent of Premises, provided by WOTSO to you and your visitors.
1.4.2
Business grade WIFI internet connection is available for unlimited access on a fair use basis. WOTSO reserves the right to refuse connection in circumstances of excessive or illegal use.
1.4.3
WOTSO coworking and WOTSO office members may nominate a Site as their business address and have mail delivered to the relevant Site for up to five nominated business names. WOTSO virtual office members may nominate a Site as their business address and have mail delivered for one nominated business name.
1.4.4
Charges for the use of services (such as printing and phone charges) will be added to the invoice for that period. Services will be charged in arrears on a monthly billing cycle.
1.5
Insurance
1.5.1
You agree that you are solely responsible for the security of your property at a Site and that it is your responsibility to insure any property that you bring to a Site and your liability to any employees and third parties.
1.5.2
WOTSO strongly recommends that members obtain appropriate insurance to cover:
- their personal property (including, but not limited to, furnishings and technology); and
- any liability that they may owe to their own employees, visitors or any other persons; and
- any other risk that a prudent tenant would insure against.
1.5.3
WOTSO does not accept any liability, and its insurance does not cover, any loss incurred by you or any visitor.
1.6
Termination
1.6.1
Either party may terminate a WOTSO coworking membership at any time.
1.6.2
Either party may terminate a WOTSO office membership on one month’s written notice.
1.6.3
Where WOTSO determines, at its sole discretion, that there has been or is likely to be:
- a breach of these terms and conditions;
- a breach of a law, regulation or order;
- misconduct by a member; or
- refusal by a member to cooperate with a reasonable request or direction,
it may take such action as it, at its sole discretion, deems appropriate including (but not limited to):
- immediately terminating the member’s membership; and
- removing, suspending or disabling the member’s access to the Site.
1.6.4
WOTSO reserves the right to withhold services and/or re-enter Premises without prior notice and will have a general lien on all member property that is physically situated in any Premises:
- where the member has failed to pay membership or service fees in accordance with these terms and conditions;
- where the member has breached any of these terms and conditions (other than the requirement to pay membership and service fees) and fails to remedy that breach within seven days of notice of the breach; or
- upon the member being declared bankrupt or insolvent or making any assignment for the benefit of creditors or taking the benefit of any legislation in force for the relief of bankrupts or insolvents.
1.6.5
You will be liable for WOTSO’s reasonable costs in recovering any monies owed by you in accordance with these terms and conditions.
1.6.6
On termination you may remove your fixtures and signs provided that any damage caused to any part of a Site during such removal must be remedied immediately at your expense. If you fail to do so, WOTSO may do so at your expense.
1.7
Liability
1.7.1
To the maximum extent permitted by law, WOTSO, its related bodies corporate and their officers, employees, contractors and agents shall not be liable for any:
- theft, loss or damage from any Premises or Site, howsoever occurring, or for any damage done to a member’s furniture or other effects at a Site by a caretaker, cleaner or any employee, contractor, agent or invitee of WOTSO; or
- loss, damage or loss of information resulting from any communications or data failure including voice, communication and the internet; or
- loss, damage, corruption of data or any loss of information whether from hardware, software or internet damage that may occur to a member.
1.7.2
This clause 1.7 survives termination of any membership.
1.8
Parting with possession
You must not to assign, sublet, or part with possession of the Premises prior to termination of your membership
1.9
Visitors
1.9.1
All visitors entering a Site must sign in at reception and comply with any safety, emergency and COVID-safe procedures.
1.9.2
If you are expecting a visitor (including any contractor or courier) who requires access to your Premises in your absence, you must let the Site staff know in advance to ensure that your visitors are permitted to access to your Premises.
1.9.3
Visitors are not permitted at a Site outside regular staffing hours (being Monday to Friday 8am – 5pm) without WOTSO’s prior consent, and all doors are to remain closed. You must notify Site staff by email if you wish to bring visitors to a Site outside regular staffing hours.
1.10
Use and care of Premises and Sites
You must:
- take care of the Premises and to keep them in a clean, tidy and presentable condition;
- not commit any nuisance, annoyance or harassment to anyone at a Site;
- not interfere with or disrupt the use and enjoyment of a Site by other members and visitors;
- not sleep overnight at a Site;
- not smoke at a Site;
- not use the Premises or the Site for any immoral or illegal purposes or in any way that breaches these terms and conditions, any applicable local, state, federal or international law or regulation, and ensure that your employees, contractors, agents and invitees comply with the provisions of this clause 1.10.
1.11
Non solicitation
1.11.1
You acknowledge and agree that WOTSO has a legitimate interest in protecting its confidential information, client connections and the stability of its workforce and that you must not:
- directly or indirectly, for your or any other person’s benefit and in any capacity, approach, contact, solicit, accept approaches or work from any WOTSO employee; or
- solicit or encourage any person who is an employee of WOTSO to provide services to or for you or another person or business, whilst they are an employee of WOTSO and for a period of 3 months following the date on which the relevant employee ceased employment with WOTSO.
1.11.2
This clause 1.11 survives termination of any membership.
2. MEETING ROOMS & EVENT SPACES
2.1
Application
These terms and condition apply to all bookings made by or on behalf of WOTSO and non-WOTSO members for any meeting or event space at any Site, unless stated otherwise.
2.2
Bookings
2.2.1
For all non-WOTSO member bookings, the full amount payable will be charged to the nominated card at the time of booking. Any additional charges such as for catering or drinks ordered on the day, or for additional booking time, must be paid on the same day.
2.2.2
For all WOTSO member bookings, the full amount payable (including any additional charges incurred on the day) will be added to the invoice for that period.
2.3
Cancellations & refunds
2.3.1
All meeting room booking cancellations and reductions must be notified to Site staff in writing.
2.3.2
Meeting room bookings that are cancelled or reduced by notice in writing at least 24 hours before the start time will not be charged a cancellation or reduction fee, and will be refunded or credited at WOTSO’s sole discretion.
2.3.3
Meeting room bookings that are cancelled or reduced by notice in writing less than 24 hours before the start time will be liable for 100% of the cost of the original booking, and will not be refunded or credited.
2.3.4
For event space bookings up to $5,000 (inclusive of catering and services), the cancellation notice periods in clauses 2.3.2 and 2.3.3 apply.
2.3.5
For event space bookings over $5,000 (inclusive of catering and services), any cancellation or reduction by notice in writing received by Site staff:
- at least one week before the start time will not be charged a cancellation or reduction fee, and will be refunded or credited at WOTSO’s sole discretion; or
- less than one week before the start time will be liable for 100% of the cost of the original booking, and will not be refunded or credited.
2.3.6
Any prebooked catering (excluding tea & coffee provided by the venue), hired AV services and any other services for meeting room or event space bookings that are cancelled less than 48 hours before the start time is liable for 100% of the cost of that service, and will not be refunded or credited.
2.3.7
If, for any reason, the meeting room or event space booked is no longer available at the time requested, notice will be given as soon as possible and, subject to availability, a room of similar or higher standard offered at the same rate.
2.4
Use of facilities
2.4.1
Any damage caused to the fixtures, fittings and equipment in any meeting room or event space by you or any of your attendees will be charged to the payment method on file.
2.4.2
You agree not to conduct any illegal activities within any meeting room or event space.
2.4.3
Where a bar fridge is made available to you, any product opened will be charged accordingly. You are responsible for monitoring responsible use by your attendees.
2.5
After hours/weekend bookings
Any meeting room or event space booking outside standard business hours (being Monday to Friday 8am – 6pm) will incur an additional staffing charge of $33/hour (inc. GST) on weeknights and $55/hour (inc. GST) on weekends. This also applies to bookings that commence during but conclude outside standard business hours.
